Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Zorachat website, applications, APIs, chat widgets, and related services (collectively, the "Service") operated by Zorachat ("Zorachat," "we," "us," or "our").

By creating an account, deploying a widget, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not use the Service.

You may not use the Service if you are barred under applicable law or if we have previously suspended or terminated your account for violation of these Terms.

You must provide accurate account information and keep it up to date. You are responsible for all activity under your credentials and for maintaining the confidentiality of your login details.

Notify us promptly at support@zorachat.ai if you suspect unauthorized access to your account.

We may suspend or terminate accounts that violate these Terms, pose security risks, or remain inactive for an extended period, subject to applicable law.

Zorachat offers free access to get started and paid subscription plans (including Growth, Business, and Max) with message credits, assistant limits, and website limits as described on our pricing page at the time of purchase.

Paid subscriptions renew automatically on a monthly or annual basis unless cancelled before the renewal date. Fees are non-refundable except where required by law or expressly stated otherwise.

Credits are consumed when the Service processes messages or related usage as defined in your plan. Unused credits do not roll over between billing periods unless we state otherwise in writing.

We may change plan features, limits, or prices with reasonable notice. Price changes apply to the next billing cycle after notice.

Failure to pay may result in suspension of paid features or downgrade of your workspace until payment is received.

You agree not to:

• Use the Service for unlawful, fraudulent, harassing, discriminatory, or harmful purposes.
• Upload or transmit malware, spam, or content that infringes intellectual property or privacy rights.
• Attempt to probe, scan, or compromise the security or integrity of the Service or third-party systems.
• Reverse engineer, scrape, or resell the Service except as expressly permitted in writing.
• Misrepresent your identity or impersonate others when interacting through the Service.
• Use the Service to process special categories of personal data without appropriate legal basis and safeguards.

You retain ownership of content you submit, including knowledge materials, configuration, and data from your website visitors processed through your assistants.

You grant Zorachat a limited license to host, process, transmit, and display your content solely to provide and improve the Service, including generating AI responses and enabling integrations you configure.

You are solely responsible for the content you provide, privacy notices shown to your visitors, and compliance with laws applicable to your use of the Service.

The Service uses automated systems to generate responses. Outputs may be incomplete, inaccurate, or inappropriate. You are responsible for reviewing critical interactions and configuring human handoff where needed.

Zorachat does not provide legal, medical, financial, or other professional advice through the Service. Do not rely on AI outputs as a substitute for qualified professional judgment.

The Service may connect with third-party tools such as Slack, Telegram, payment processors, and hosting providers. Your use of those services is subject to their terms and policies.

We are not responsible for third-party outages, changes, or practices. Enabling an integration constitutes your authorization for us to exchange data as needed to operate that feature.

Zorachat and its licensors own the Service, software, branding, documentation, and all related intellectual property, except for your content.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription or free access period.

You may not use Zorachat trademarks without prior written consent. Removal of powered-by branding may require an eligible paid plan.

Each party may receive non-public information from the other. You agree to protect our confidential information and use it only as necessary to use the Service. We will protect your non-public business information with reasonable care.

You may stop using the Service at any time and may cancel paid subscriptions by contacting us.

We may suspend or terminate access immediately for material breach, abuse, non-payment, or legal requirement. Upon termination, your right to use the Service ends, though provisions that by nature should survive will remain in effect.

We may delete account data after a reasonable retention period following termination, except where retention is required by law.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by law, Zorachat and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

Our total liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) amounts you paid to Zorachat for the Service in the twelve months before the claim, or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow certain limitations, so these limits may not apply to you in full.

You will defend, indemnify, and hold harmless Zorachat from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Service, violation of these Terms, or violation of applicable law or third-party rights.

These Terms are governed by the laws applicable in our principal place of business, without regard to conflict-of-law rules.

Before filing a claim, you agree to contact us at support@zorachat.ai to attempt informal resolution. If a dispute is not resolved within thirty (30) days, either party may pursue remedies in the courts or forums permitted by applicable law.

We may update these Terms from time to time. We will post the updated version on this page and revise the "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

Material changes may be communicated by email or in-product notice where appropriate.

These Terms, together with the Privacy Policy and any order or plan-specific terms, constitute the entire agreement between you and Zorachat regarding the Service.

If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of that provision.

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
