Agreement to these Terms

These Terms and Conditions ("Terms") govern your access to and use of the Zorachat website, hosted platform, applications, APIs, AI routing and relay services, chat widgets, knowledge tools, live-agent tools, cloud services, integrations, and related products and services (collectively, the "Service") operated under the Zorachat name ("Zorachat," "we," "us," or "our").

By creating an account, purchasing or using credits, deploying an assistant, connecting a website or external provider, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

The Zorachat Service

Zorachat provides tools for creating, configuring, and operating AI-assisted customer-support experiences. Depending on your plan and configuration, the Service may include hosted assistants, knowledge management, chat widgets, lead capture, conversation records, AI-provider routing, Zora credits, managed AI replies, team monitoring, human takeover, mobile access, push notifications, analytics, and integrations with third-party platforms.

Some features are delivered directly by Zorachat. Other features rely on providers or integrations you select. Features, availability, limits, and supported integrations may change over time.

Eligibility, accounts, and security

You may not use the Service if applicable law prohibits you from doing so or if we have previously suspended or terminated your access for a material violation of these Terms.

You must provide accurate account and business information and keep it current. You are responsible for all activity under your account and for maintaining the confidentiality of passwords, API credentials, integration tokens, and other authentication information. You must limit access to authorized users and notify us promptly at support@zorachat.ai if you suspect unauthorized access or credential exposure.

We may require reasonable verification of your identity, organization, website, payment method, or authority to use a connected service.

Plans, subscriptions, credits, and billing

Zorachat may offer free access, paid subscriptions, Zora credits, and plans with different message limits, assistant limits, website limits, integration access, support levels, or cloud features, as described at the time of purchase.

Paid subscriptions renew automatically on the stated monthly or annual cycle unless cancelled before renewal. Fees are non-refundable except where required by law or expressly stated otherwise. Credits are consumed according to the usage rules presented with the applicable plan. Unused credits do not roll over or retain cash value unless we state otherwise in writing.

We may change plan features, limits, or prices with reasonable notice. Price changes apply no earlier than the next renewal cycle after notice unless applicable law requires otherwise. Failure to pay may result in suspension, restricted functionality, or downgrade of the applicable workspace.

Charges imposed by external AI providers, messaging platforms, hosting providers, or other third parties are separate from Zorachat charges and remain your responsibility.

Customer Content

You retain ownership of content and data submitted to or through the Service, including knowledge materials, website content, documents, product information, instructions, configurations, conversations, attachments, lead information, and information supplied by your customers or visitors (collectively, "Customer Content").

You grant Zorachat a limited, non-exclusive license to receive, host, copy, structure, index, retrieve, transmit, display, and otherwise process Customer Content only as reasonably necessary to provide, secure, support, and maintain the Service, follow your configured instructions, and comply with legal obligations.

You represent that you have all rights, permissions, notices, consents, and lawful bases necessary to submit and process Customer Content through the Service. You are responsible for the accuracy and legality of Customer Content and for ensuring that it does not infringe intellectual-property, confidentiality, privacy, publicity, or other rights.

Your responsibilities to customers and visitors

You decide how your assistant is configured, what information it requests, what knowledge it uses, which providers and integrations are enabled, and when a human agent takes over. You are responsible for:

  • clearly informing visitors when they are interacting with an automated assistant where required;
  • providing an accurate privacy notice and obtaining consent where required;
  • establishing a lawful basis for processing personal information;
  • limiting collection to information appropriate for your use case;
  • configuring suitable access controls and retention practices;
  • responding to requests to access, correct, export, restrict, or erase information under your control; and
  • avoiding sensitive or special-category personal data unless you have an appropriate legal basis and safeguards.

Automated decision-making

You must not use the Service as the sole decision-maker for decisions that may materially affect a person's legal rights, health, safety, employment, finances, access to essential services, or similarly significant interests without appropriate review and safeguards.

AI-generated output

The Service uses automated systems and third-party AI models to generate responses. Outputs may be incomplete, inaccurate, outdated, offensive, or unsuitable for a particular context. You are responsible for testing your assistant, reviewing critical interactions, maintaining appropriate instructions and knowledge, and using human takeover where needed.

Zorachat does not provide legal, medical, financial, employment, safety-critical, or other professional advice. AI output must not replace qualified professional judgment.

External AI providers and API relay

Zorachat may support AI providers such as OpenAI, Google Gemini, and Anthropic Claude. When you select an external provider and supply its API credential, you instruct and authorize Zorachat to process the selected credential and relevant request information through api.zorachat.ai and forward them to the selected provider.

Request information may include a visitor message, assistant instructions, relevant knowledge or website context, enabled attachments, conversation metadata, and other information required to generate or deliver a response.

You represent that you are authorized to use every credential you provide. You remain responsible for provider charges, quotas, restrictions, credential rotation, and revocation. If a credential may have been compromised, revoke or rotate it with the provider and remove or replace it in Zorachat promptly.

Zorachat Cloud Services

You may connect Zorachat Cloud Services for Zora credits, managed AI replies, cloud-connected monitoring, mobile live-agent functions, push notifications, account and plan management, hosted knowledge processing, or other enabled cloud features.

Connecting a cloud feature is your instruction and authorization for Zorachat to process the account, site, conversation, knowledge, lead, attachment, usage, and configuration information reasonably necessary to operate that feature. Available cloud functionality may depend on your plan, credit balance, account status, and configuration.

Integrations and external services

The Service may connect with Slack, Telegram, payment processors, push-notification providers, content-delivery networks, hosting providers, analytics services, communications providers, and other third parties.

Enabling an integration authorizes Zorachat and the relevant provider to exchange the information reasonably necessary to operate that feature. This may include conversation content, identifiers, lead details, available contact details, handoff summaries, attachments, credentials, and notification metadata.

Third-party services operate under their own terms and privacy policies. You are responsible for reviewing those terms and determining whether the provider is suitable for your intended content, users, and jurisdiction. Zorachat is not responsible for third-party outages, changes, model outputs, account suspensions, data-handling practices, or charges.

Acceptable use

You must not use the Service to:

  • violate applicable law or facilitate unlawful, fraudulent, harassing, discriminatory, deceptive, or harmful activity;
  • upload malware, spam, unlawful surveillance material, or content that violates third-party rights;
  • probe, scan, disrupt, overload, bypass, or compromise the Service or another system;
  • obtain unauthorized access to accounts, conversations, credentials, systems, or data;
  • misrepresent your identity, impersonate another person, or intentionally mislead users about the nature of an automated assistant;
  • process sensitive or special-category personal data without an appropriate legal basis and safeguards;
  • use the Service to generate or distribute content that is illegal or creates a foreseeable risk of serious harm; or
  • resell, scrape, reverse engineer, or misuse the hosted Service except as permitted by law or written authorization.

Open-source connectors

Restrictions applying to the hosted Service do not limit rights granted under an applicable open-source licence for connector or plugin code.

Privacy and data protection

Our Privacy Policy explains how Zorachat processes personal information. Where applicable law treats you as a controller or business and Zorachat as your processor or service provider, Zorachat will process relevant personal information on your documented instructions, including the configuration choices you make through the Service, except where law requires otherwise.

You are responsible for determining whether your use requires a data processing agreement, consent mechanism, international-transfer safeguard, age restriction, retention schedule, sector-specific control, or other compliance measure. Zorachat does not represent that using the Service or publishing suggested policy language automatically makes you compliant with any particular law.

Intellectual property and branding

Except for Customer Content, open-source components, and third-party materials, Zorachat and its licensors own the Service, APIs, software, branding, documentation, and related intellectual property.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the hosted Service during your authorized free or paid use. Separate licences may apply to open-source plugins, connectors, SDKs, or libraries.

You may not use Zorachat trademarks in a manner that falsely suggests sponsorship, endorsement, or affiliation without prior written permission.

Confidentiality and security

Each party may receive non-public information from the other. Each party will use reasonable care to protect the other's confidential information and use it only for the purpose for which it was disclosed, except where disclosure is authorized or legally required.

We use administrative, technical, and organizational safeguards designed to protect the Service. No system is completely secure, and we do not guarantee that unauthorized access, loss, or interruption will never occur. You are responsible for securing your devices, websites, hosting environments, user accounts, and credentials.

Service changes, suspension, and termination

You may stop using the Service at any time and may cancel paid subscriptions through available account controls or by contacting us.

We may modify, suspend, or terminate hosted features for maintenance, security, legal requirements, non-payment, abuse, or material breach. Where reasonably practicable, we will provide notice of a material discontinuation.

When hosted access ends, cloud-connected features may stop working. We may delete hosted account data after a reasonable retention period, subject to our Privacy Policy and applicable law. Termination does not revoke rights already granted under an applicable open-source licence.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or suitable for every use case, or that AI output will be accurate. Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by law, Zorachat and its affiliates, officers, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, business, data, or goodwill arising from or related to the Service.

To the maximum extent permitted by law, our aggregate liability for claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid Zorachat during the twelve months preceding the event giving rise to the claim or (b) USD $100.

Some jurisdictions do not permit certain exclusions or limitations, so some of the above may not apply to you.

Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Zorachat and its affiliates, officers, employees, contractors, and suppliers from third-party claims, losses, damages, liabilities, and reasonable legal expenses arising from Customer Content, your configuration or use of the Service, your violation of these Terms, or your violation of applicable law or third-party rights.

CMS and website integrations

Zorachat may provide plugins, connectors, scripts, APIs, or instructions for connecting websites, commerce systems, content-management systems, and other platforms. Each integration may have platform-specific technical behaviour, storage locations, licence terms, and data flows. You are responsible for reviewing the documentation and disclosures applicable to every integration you enable.

WordPress-specific terms

The Zorachat plugin for WordPress (the "WordPress Plugin") is open-source software licensed under the GNU General Public License, version 2 or later (GPLv2 or later), as stated in its files. Your rights to copy, modify, and redistribute the WordPress Plugin are governed by that licence. Nothing in these Terms limits rights granted under the GPL.

The WordPress Plugin may store settings, conversations, lead records, and related data in the website owner's WordPress database. Enabled attachments may be stored in the WordPress uploads environment. Local storage does not mean local-only processing: AI responses, knowledge ingestion, Zora Cloud functions, mobile monitoring, notifications, and handoff integrations require selected information to be sent to external services.

An administrator may provide knowledge from WordPress pages, posts, FAQs, custom text, uploaded PDFs, and WooCommerce product information. The administrator controls what is selected or synchronized and is responsible for having authority to process that content.

When the public widget is enabled, the visitor's browser requests the widget asset from widget.zorachat.ai. When an AI provider is selected, supported requests are sent first through api.zorachat.ai and then to the selected provider. Enabled Slack, Telegram, mobile, or notification features may receive conversation and lead information as described in the Privacy Policy.

Any public-facing "Powered by Zorachat" credit controlled by the WordPress Plugin is optional, and the website administrator decides whether to display it.

Zorachat is independent of the WordPress Foundation and the WordPress.org project. WordPress and WooCommerce are trademarks of their respective owners. Compatibility references do not imply sponsorship or endorsement.

Governing law and disputes

These Terms are governed by applicable law, without regard to conflict-of-law rules.

Before filing a claim, you agree to contact support@zorachat.ai and attempt informal resolution. If a dispute is not resolved within thirty (30) days, either party may pursue available legal remedies.

Changes to these Terms

We may update these Terms from time to time. We will post the revised version and update the "Last updated" date. Material changes may also be communicated by email or in-product notice where appropriate. Continued use after revised Terms become effective constitutes acceptance to the extent permitted by law.

Miscellaneous

These Terms, the Privacy Policy, and any applicable order or plan-specific terms constitute the entire agreement between you and Zorachat concerning the Service. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver.

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, corporate reorganization, financing, or sale of assets, subject to applicable law.
